Associate Legal Counsel
Closing on: Feb 20, 2026
Location: Nairobi with travel to other Victory Farms Sites
Roles & Responsibilities:
1. Commercial and Contractual Support
- Draft, review, and negotiate all commercial contracts including supply agreements, processing and logistics contracts, distributor and customer contracts, NDAs, MOUs, and service agreements.
- Track key obligations, renewal dates, and termination rights.
2. Land, Lake and Property Risk
- Support the legal management of land purchases and leases, lake use rights and site access, subdivisions, successions, and any title regularization processes.
3. Regulatory and Government Compliance
- Advise on and support compliance with fisheries and aquaculture regulations, environmental and water use licenses, county cess, permits, and business licenses, public health and food safety rules.
- Interface with County governments, Fisheries authorities, NEMA, regulators, Inspectors and auditors.
4. Employment and Labour Matters
- Provide legal support on disciplinary hearings, show-cause and termination processes, and employment classifications (casual, contract, permanent) as well as compliance with overtime, wages, and statutory benefits.
- Ensure compliance with Employment Act, Labour Relations law, minimum wage and working hours regulations.
5. Immigration and Expatriate Management
- Support legal compliance for work permits and visas, expatriates’ contracts and assignments, Immigration audits and renewals.
- Coordinate with the Legal and Immigration Clerk and government agencies.
6. Disputes and Litigation Management
- Manage external counsel on cases involving Labour claims, land disputes, commercial and regulatory matters.
- Instruct, coordinate, and supervise external counsel.
- Prepare legal strategies, pleadings, and settlement positions.
7. Corporate and Governance Support
- Prepare board resolutions, regulatory filings and corporate records.
8. Data, Compliance and Risk
- Support the Data Protection Officer on Data Protection Act compliance, investigations and breach responses.
- Identify and escalate legal risks that could shut down operations, trigger fines or license loss and damage the company’s reputation
Qualifications & Experience
- Bachelor of Laws (LLB) and Post-Graduate Diploma (Advocates Training Programme or equivalent)
- Admitted Advocate of the High Court of Kenya.
- Minimum 5 years’ experience in Commercial law, Employment and regulatory law, Land or project-based legal work.
- Data Protection certification with proven practical experience.
- Experience dealing with Government agencies, Regulators, Large operational businesses.
- Strong contract drafting and negotiation.
- Ability to convert legal principles into actionable business guidance.
- High attention to detail and risk awareness.
